Astro End User License Agreement (EULA)

1. Introduction

Use of the Software confirms your acceptance of this Agreement. If you do not agree, do not install or use Astro.

2. License Grant

Blackstone Studio, LLC grants a limited, non-transferable, non-exclusive license to use, modify, and deploy the Software for a single project or product implementation. Each additional implementation requires a separate license.

You may modify the Software for internal purposes only. Resale, redistribution, or sublicensing in any form is prohibited.

3. Ownership

All intellectual property rights in Astro—including source code, structure, organization, and documentation— remain the sole property of Blackstone Studio, LLC. A license purchase does not transfer ownership.

4. Delivery

The Software is delivered electronically via a private repository, secure download link, or both, at the Licensor’s discretion. Access is granted upon receipt of full payment.

5. Payment and Refund Policy

Payment is due upfront before delivery, and the Licensee is responsible for all related taxes and fees. A 14-day refund period applies from the purchase date; after 14 days, refunds are unavailable.

Installment options offered by payment providers (such as Stripe) are managed solely by those providers and fall outside this Agreement.

6. Updates and Renewals

Licensees receive complimentary updates for one year after purchase. Continued maintenance or updates beyond the first year may be renewed for an additional fee determined by Blackstone Studio, LLC.

7. Support and Maintenance

Support availability depends on the purchased plan:

• Base License: No direct technical support beyond installation assistance.
• Professional License: Email and Slack-based support during the active license period.
• “We Build It for You” License: Comprehensive development, setup, and maintenance support.

After the first year, Licensees retain access to community support channels unless a support renewal is purchased.

8. Restrictions

The Licensee shall not:

• Sell, sublicense, or distribute the Software to third parties.
• Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas.
• Rebrand or represent the Software as their own without written consent.
• Use the Software in a manner that violates laws or infringes third-party rights.

Violations result in immediate termination of the license without refund.

9. Compliance Responsibility

Astro includes scaffolding for compliance (e.g., SOC 2, HIPAA, accessibility), but the Licensee is solely responsible for maintaining legal compliance and certifications (such as GDPR, ADA, HIPAA). Blackstone Studio, LLC assumes no liability for compliance failures.

10. Third-Party Services and Integrations

Astro integrates with third-party services (including Stripe, AWS, SES, OpenAI, Anthropic, and others). The Licensor is not liable for the performance, reliability, or security of third-party services or changes made by those providers. Usage of third-party services is governed by the respective provider’s terms.

11. Modifications, Suspension, and Discontinuation

Blackstone Studio, LLC may modify, suspend, or discontinue any aspect of Astro—including features or update cycles—at any time without prior notice. These changes do not affect existing license rights to the purchased version.

12. Termination

The Licensor may terminate this Agreement immediately if the Licensee breaches any term, including unauthorized resale, redistribution, or failure to comply with restrictions. Upon termination, the Licensee must cease use and destroy all copies of the Software.

13. Disclaimer of Warranties

The Software is provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Blackstone Studio, LLC does not guarantee a bug-free, secure, or uninterrupted experience.

14. Limitation of Liability

To the maximum extent permitted by law, Blackstone Studio, LLC and its affiliates are not liable for damages arising from use or inability to use the Software, including direct, indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid for the Software.

15. Publicity and Portfolio Rights

Unless requested otherwise in writing, Blackstone Studio, LLC may reference the Licensee’s company name, project name, or logo in marketing materials, portfolio pieces, or case studies. Written requests to opt out will be honored.

16. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Wyoming, United States. Disputes are subject to the exclusive jurisdiction of courts located in Sheridan County, Wyoming.

17. Entire Agreement

This document constitutes the entire Agreement between the parties regarding the Software and supersedes all prior communications, proposals, or agreements, whether oral or written.
